Meta Agrees to Deal with Zuckerberg Amid Proposed Billionaire Tax
Mark Zuckerberg secures a deal with Meta to counteract a potential billionaire tax while retaining his leadership role in California.

Meta Platforms, Inc. has reached a significant agreement with its chief executive, Mark Zuckerberg, amid discussions surrounding a proposed billionaire tax in California. This tax could impose a one-time charge of 5% on residents boasting a net worth exceeding $1 billion, potentially impacting Zuckerberg's estimated wealth of over $200 billion (£149 billion).

If passed in November, it is anticipated that the billionaire tax could lead to additional state taxes of approximately $10 billion for Zuckerberg. Negotiations with a special committee at Meta regarding this arrangement were described as "robust" and at times "contentious," according to a recent financial disclosure.

California is home to numerous tech industry moguls, with approximately 225 billionaires residing within the state. The wealth concentrated among these individuals, including Zuckerberg, has increased substantially in recent years. Notably, Zuckerberg has maintained an effective tax rate of less than 1% annually in California.

Concerns over the potential tax led Zuckerberg to inform Meta's board that he was contemplating relocating his primary residence outside California, which included considering the sale of properties in Palo Alto and Lake Tahoe. Such a move, he argued, would not only stir public discourse but could also introduce uncertainties regarding the company's management going forward.

In response to these concerns, Meta decided to create new stock options for Zuckerberg. This agreement, referred to as the "Founder Alignment Agreement," will enable him to receive additional shares without losing control over the company. Specifically, Meta's recent stock split yielded one new share for each existing shareholder, and this arrangement will last for eight years as long as Zuckerberg remains a California resident.

Meta emphasised the importance of keeping Zuckerberg at the helm, highlighting ongoing transformations in the technology sector and the global economy, particularly regarding artificial intelligence. Following significant challenges during the COVID-19 pandemic, including mass layoffs and a strategic pivot away from the "metaverse" towards AI development, Meta is gearing up for future opportunities.

Major tech companies, including Meta, are projected to invest approximately $1 trillion in artificial intelligence in the coming year. Meta has slated up to $145 billion for AI projects, leading to financial strains and triggering negative cash flow—a situation unprecedented since the company's public listing 14 years ago. According to Meta’s Chief Financial Officer, Susan Li, the new stock structure will also provide additional means for financing future AI initiatives.

The announcement of this spending strategy has raised concerns among investors, with Meta's shares experiencing a decline exceeding 7%, resulting in a loss of over $100 billion in market capitalisation. Such developments signal a pivotal moment for both Zuckerberg and Meta as they navigate potential financial responsibilities and corporate strategy in an increasingly competitive landscape.
